These Terms of Service (“Terms”) govern your access to and use of the IMMLi mobile application, website and related services (together, the “Services”).

The Services are provided by Immli Connect Pvt Ltd (“IMMLi”, “we”, “our” or “us”). Registered address: N 601, Antriksh Golf View 1, Sector 78, Noida 201301, Uttar Pradesh, India.

By using IMMLi, you agree to this

By creating an account or using the Services, you agree to these Terms, our Privacy Policy and our Community Guidelines. If you do not agree, you must not use the Services.

The short version

A plain-language orientation to what follows. It is not a substitute for the Terms — the full text below is what binds us both.

  • You must be 18 or over and legally able to enter this agreement.
  • MMI is a reflection tool, not a diagnosis. IMMLi is not medical, clinical, therapeutic or emergency care, and it guarantees no particular personal outcome.
  • You own what you write. You grant us only the licence needed to run the Services, and it ends when the content is deleted.
  • Conduct rules are enforceable. Harassment, deception, coercion, scams and boundary violations can cost you features, or your account.
  • Store subscriptions are billed by the store. Deleting your IMMLi account does not, by itself, cancel an Apple or Google subscription.
  • Indian law governs, and your statutory rights survive. Nothing here removes a consumer or data-protection right the law does not let us exclude.

01What IMMLi is#

IMMLi is a wellbeing and human-connection platform built around the Mind & Mood Index (“MMI”). MMI helps users recognise patterns across:

  • mood;
  • work and care; and
  • relationships and connection.

IMMLi may use those patterns to provide reflections, prompts, circles, communities, discovery experiences and relevant connection suggestions.

MMI comes first. Connection follows.

IMMLi is not built around volume-driven matching or attraction-first mechanics. Its purpose is to help people understand how they are living and, where they choose, recognise others whose lives or patterns may be relevant to them.

IMMLi does not guarantee friendship, companionship, romantic partnership, compatibility or any particular personal outcome.

02Eligibility#

You may use IMMLi only if:

  • you are at least 18 years old;
  • you have legal capacity to enter into these Terms;
  • you are legally permitted to use the Services; and
  • you have not previously been permanently removed from IMMLi unless we have expressly authorised your return.

By creating or using an account, you confirm that these conditions are met.

IMMLi may take reasonable steps to verify age, identity, account integrity or eligibility where necessary for safety, fraud prevention, legal compliance or platform integrity.

IMMLi is not intended for children.

03Your account#

Certain IMMLi features require an account. You agree to:

  • provide materially accurate account information;
  • keep that information reasonably current;
  • protect your login credentials;
  • not share access to your account;
  • not create deceptive, duplicate or impersonating accounts; and
  • notify IMMLi promptly if you suspect unauthorised access.

You are responsible for activity conducted through your account unless the activity resulted from circumstances for which you are not reasonably responsible.

You must not create an account for another person unless you are legally authorised to do so and IMMLi expressly permits that account type.

04Authentication services#

IMMLi may allow you to sign in using third-party authentication services such as Google or Apple. Your use of those authentication services is also subject to the relevant provider’s terms and privacy practices.

Where you use third-party authentication, IMMLi may receive limited account information authorised by you, as explained in our Privacy Policy.

05Privacy#

Our Privacy Policy explains how IMMLi collects, uses, stores, shares and protects personal data. Depending on the features you use, this may include:

  • account and profile information;
  • MMI and check-in information;
  • work and caregiving reflections;
  • relationship and connection information;
  • location information;
  • technical and usage information;
  • safety and support information; and
  • transaction information.

Note

Where these Terms and the Privacy Policy deal with the same privacy-specific issue, the Privacy Policy governs that issue.

Use of IMMLi does not mean that every category of optional personal data may be collected automatically. Consent and permissions will be handled as described in the Privacy Policy and the relevant feature.

06What MMI means — and what it does not mean#

MMI is intended to help users notice patterns in lived experience.

MMI may generate:

  • patterns;
  • categories;
  • states;
  • summaries;
  • prompts;
  • reflections;
  • internal scores; and
  • relevance or connection signals.

These outputs are interpretive. They are not definitive statements about who you are or what another person is like.

MMI does not guarantee that a connection, circle or recommendation will be accurate, suitable or successful. You should use your own judgment when interpreting MMI information or interacting with another user.

07Not medical, clinical or emergency services#

IMMLi is a wellbeing and connection platform.

IMMLi, MMI and related prompts, insights, summaries or recommendations:

  • are not medical advice;
  • are not psychological or psychiatric diagnosis;
  • are not treatment;
  • are not therapy or psychotherapy;
  • do not replace advice from qualified professionals; and
  • are not intended for crisis or emergency support.

MMI information should not be treated as a clinical assessment merely because some aspects of the product may be informed by wellbeing research.

If you need help now

If you require medical or mental-health support, contact an appropriately qualified professional. If you are in immediate danger or experiencing an emergency, contact the appropriate local emergency service.

08Licence to use IMMLi#

Subject to these Terms, IMMLi grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the Services for their intended personal use.

This licence does not transfer ownership of any IMMLi intellectual property to you. You must not use the Services for unauthorised commercial exploitation.

09The standard of conduct#

IMMLi is built for respectful, intentional human connection.

You agree to:

  • engage honestly and in good faith;
  • respect another person’s pace and boundaries;
  • communicate without intimidation or coercion;
  • take responsibility for what you share;
  • respect other users’ privacy;
  • avoid emotional or financial exploitation; and
  • use the platform in a way that supports a safe and respectful environment.

Our Community Guidelines provide more detailed rules and form part of these Terms.

10Prohibited conduct#

You must not use IMMLi to:

  • break applicable law;
  • impersonate another person;
  • materially misrepresent your age, identity, location, relationship status or intentions;
  • catfish, scam or deceive another user;
  • create deceptive or enforcement-evading accounts;
  • threaten, stalk, harass, intimidate, bully or blackmail another person;
  • repeatedly contact someone after they have disengaged;
  • pressure someone to respond;
  • pressure someone into emotional disclosure;
  • pressure someone to move off IMMLi;
  • pressure someone to meet in person;
  • send unwanted sexual or explicit messages or material;
  • engage in sexual coercion or exploitation;
  • promote hate or targeted discrimination;
  • publish or distribute another person’s private information without permission;
  • solicit passwords, OTPs, banking credentials or similar sensitive information;
  • use fake emergencies or emotional pressure to obtain money;
  • run investment, crypto, referral or similar scams;
  • spam users;
  • conduct unauthorised advertising or lead generation;
  • scrape, harvest or systematically collect user data;
  • use bots, scripts or unauthorised automation;
  • distribute malware or harmful code;
  • bypass security controls, safety limits or access restrictions;
  • reverse engineer the Services except where applicable law expressly permits it; or
  • otherwise use IMMLi in a way that creates a material risk of harm to users, IMMLi or the public.

11Chat rules#

Chat exists for mutual and respectful interaction.

No user owes another user a reply.

You must not use chat to:

  • pressure someone to continue a conversation;
  • overwhelm or repeatedly message someone who has disengaged;
  • demand private or personal information;
  • pressure someone to disclose emotional experiences;
  • sexualise another user without their consent;
  • use guilt, persistence or emotional leverage to obtain attention;
  • pressure someone to share contact details;
  • pressure someone to meet offline;
  • manipulate someone using their MMI information or personal disclosures;
  • send threats, abusive material or spam; or
  • evade a block or other safety restriction.

If another user says no, stops responding, blocks you or otherwise indicates that they do not want further contact, you must respect that boundary.

12No misuse of MMI or emotional information#

MMI exists to support understanding.

You must not use MMI, profile information, check-ins, emotional disclosures or IMMLi-generated patterns to:

  • shame or humiliate another user;
  • describe another person as superior or inferior;
  • claim medical or psychological authority over them;
  • diagnose them;
  • pressure them into disclosure;
  • manipulate them;
  • exploit vulnerability;
  • present an IMMLi output as an objective medical fact; or
  • suggest that IMMLi has determined another person’s worth, character or suitability.

MMI is a reflection tool, not a weapon.

13User content#

“User Content” means content you provide through the Services, including text, profile information, photographs, messages, posts, prompts, check-ins, reflections and other material.

You retain ownership of your User Content.

By providing User Content, you grant IMMLi a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, format, transmit and display that content only as reasonably necessary to:

  • provide the Services;
  • generate requested MMI features and outputs;
  • personalise your experience;
  • operate chat, community and connection features;
  • maintain security and safety;
  • investigate reports;
  • troubleshoot and improve the Services;
  • enforce these Terms and the Community Guidelines; and
  • comply with law.

This licence does not give IMMLi ownership of your User Content. The licence ends when the relevant content is deleted from our systems, except where continued retention is reasonably required or legally permitted, as described in the Privacy Policy.

You confirm that you have the necessary rights to provide your User Content.

14Private and shared information#

Some IMMLi information is intended to remain private by default.

Your detailed MMI check-ins, private reflections, journal entries and full MMI history are governed by the Privacy Policy and are not automatically displayed to other users.

Other information may be visible depending on the relevant feature and your choices, including:

  • profile details;
  • profile photographs;
  • selected prompts;
  • community posts;
  • messages sent to another user; and
  • limited MMI or connection signals designed for sharing.

Please consider carefully what you choose to share.

15Community Guidelines#

Our Community Guidelines apply to profiles, chat, circles, community spaces, connection features and other interactive areas of IMMLi. They are incorporated into these Terms.

If there is a conflict between these Terms and the Community Guidelines concerning user behaviour or enforcement, these Terms govern the contractual issue while the Community Guidelines provide the more detailed behavioural standard.

16Reports, blocking and safety tools#

IMMLi may provide tools allowing users to:

  • block another user;
  • report another user;
  • report content;
  • report harassment, fraud or safety concerns; and
  • raise an appeal or enforcement concern where available.

Reports must be made honestly. Knowingly false, malicious or retaliatory reports may themselves violate these Terms.

Blocking another person is a boundary.

You must not attempt to circumvent another user’s block by using another account, device, identity or channel on IMMLi.

17Moderation and review#

To protect users and the Services, IMMLi may review relevant:

  • profiles;
  • posts;
  • community content;
  • reports;
  • messages;
  • account activity;
  • technical information; and
  • associated metadata

where reasonably necessary and permitted under applicable law. We may do so for:

  • user safety;
  • fraud prevention;
  • abuse prevention;
  • enforcement;
  • service integrity;
  • legal compliance; or
  • investigation of reports.

IMMLi does not guarantee that every harmful interaction will be detected or prevented.

18DQ and connection-safety enforcement#

IMMLi may restrict a person’s eligibility to use connection, discovery, community or chat features where their behaviour creates a material safety, integrity or trust concern. IMMLi may refer internally to such an enforcement state as a “DQ” or disqualification.

A DQ is a platform-safety and eligibility decision. It is not:

  • a medical diagnosis;
  • a psychological diagnosis;
  • an MMI state;
  • a statement about a person’s inherent character or worth; or
  • a public label applied to the user.

A DQ may result from matters such as:

  • serious harassment;
  • repeated boundary violations;
  • coercive or manipulative behaviour;
  • scams or financial exploitation;
  • credible threats;
  • sexual misconduct;
  • serious privacy violations;
  • impersonation or deceptive identity use;
  • attempts to evade previous enforcement;
  • severe or repeated Community Guidelines violations; or
  • another significant safety or integrity risk.

DQ logic is separate from MMI scoring

Your mood, caregiving load, work strain, relationship pattern or MMI state will not, by itself, constitute misconduct or justify a DQ.

19Enforcement actions#

Depending on severity, context and repetition, IMMLi may take one or more actions, including:

  • removing content;
  • issuing a warning;
  • restricting particular features;
  • restricting chat;
  • restricting circles or community participation;
  • restricting discovery or connection features;
  • applying a DQ;
  • temporarily suspending an account;
  • permanently terminating an account;
  • preventing creation of replacement accounts;
  • blocking associated devices where reasonably necessary; or
  • reporting suspected unlawful conduct to appropriate authorities where required or permitted by law.

IMMLi may act without prior warning where the conduct is sufficiently serious or immediate action is reasonably necessary for safety, legal compliance, fraud prevention or platform integrity.

Where circumstances allow, we may use proportionate or escalating enforcement rather than immediate permanent removal.

20Appeals#

Where IMMLi provides an appeal or review process, you may ask us to reconsider an enforcement decision. An appeal does not automatically reverse or suspend the restriction.

IMMLi may consider information including:

  • the seriousness of the conduct;
  • available evidence;
  • prior warnings;
  • repeated behaviour;
  • potential risk to other users;
  • attempts to evade restrictions; and
  • information submitted in the appeal.

IMMLi may maintain a restriction where reasonably necessary for safety, integrity or legal compliance. Safety or legal restrictions may limit the information we can disclose about another person’s report.

21Interactions with other users#

You are responsible for deciding how and whether to interact with another user.

IMMLi does not guarantee another user’s:

  • identity;
  • honesty;
  • intentions;
  • conduct;
  • safety;
  • suitability; or
  • compatibility.

A connection suggestion does not amount to an endorsement of another user. Exercise reasonable judgment before sharing private information or meeting someone.

22Off-platform interaction#

Connections may move beyond IMMLi.

If you decide to communicate through another app, phone, video call, social media, email or in person, you do so based on your own judgment.

We encourage users to:

  • take time before moving off-platform;
  • protect private information;
  • avoid sharing passwords, OTPs or financial credentials;
  • avoid sharing an exact home address unnecessarily;
  • use appropriate caution before meeting someone; and
  • use public places and tell a trusted person where appropriate.

IMMLi cannot control conduct outside the Services. However, where harmful conduct began through IMMLi or is relevant to platform safety, you may report it and IMMLi may consider it when taking enforcement action.

23Location-based features#

Some features may use city-level, approximate or precise location information. Precise device location will only be used where the relevant feature requires it and applicable permissions have been granted.

Where practical, IMMLi aims to use less precise location where precise location is unnecessary.

You can manage device permissions through your operating-system settings. Turning off location access may affect location-dependent features. Further information is provided in the Privacy Policy.

24Memberships, subscriptions and paid features#

IMMLi may offer paid memberships, subscriptions or digital features.

Before purchase, we will display material information relating to the purchase, including where applicable:

  • the price;
  • billing period;
  • features included;
  • whether the subscription renews automatically; and
  • how it may be managed or cancelled.

Purchases made through Apple’s App Store or Google Play may also be governed by the relevant store’s billing, subscription, cancellation and refund rules. Auto-renewing subscriptions continue until cancelled in accordance with the applicable purchase terms.

Cancel store subscriptions at the store

Deleting your IMMLi account may not automatically cancel a subscription billed by Apple or Google. Where applicable, you should separately manage or cancel the subscription through the relevant store.

Nothing in these Terms removes any consumer, cancellation, refund or other statutory right that cannot lawfully be excluded.

25Trials and promotions#

IMMLi may offer trials, introductory pricing, discounts, referral benefits or promotional access. Additional terms may apply to a promotion.

Before a trial that converts automatically into a paid subscription, applicable pricing and renewal terms will be disclosed as required by the relevant platform and applicable law.

We may modify or withdraw promotional programmes prospectively, subject to applicable law and any commitments already made to participating users.

26Intellectual property#

The Services and IMMLi-owned materials — including software, interfaces, text, designs, graphics, trademarks, logos and branding — are owned by or licensed to Immli Connect Pvt Ltd and are protected by applicable intellectual-property law.

Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.

You may not use IMMLi’s name, logo or branding in a way that suggests endorsement, affiliation or ownership without permission.

Nothing in these Terms gives IMMLi ownership of your User Content.

27Feedback#

If you voluntarily provide suggestions or feedback about IMMLi, you permit IMMLi to use that feedback to operate, develop and improve the Services without an obligation to compensate you.

This does not transfer ownership of unrelated User Content or personal data to IMMLi.

28Third-party services#

The Services may interact with third-party services such as:

  • authentication providers;
  • payment providers;
  • maps or location services;
  • hosting or infrastructure providers; or
  • external links.

Third-party services may be subject to their own terms and privacy practices. IMMLi is not responsible for services that are independently operated by third parties, except to the extent responsibility cannot lawfully be excluded.

29Account deletion#

You may permanently delete your IMMLi account through the account-deletion function provided in the Services. Where applicable, IMMLi will also provide an external account-deletion route as described on the account deletion page.

Deleting the app from your device does not delete your account.

Account deletion generally results in deletion or de-identification of eligible associated personal data, subject to limited retention permitted or required for reasons such as:

  • legal compliance;
  • security;
  • fraud prevention;
  • serious abuse prevention;
  • dispute resolution; or
  • enforcement of legal rights.

Further details, including applicable deletion timeframes, are provided in the Privacy Policy. Account deletion is different from suspension or deactivation.

30Suspension and termination by IMMLi#

IMMLi may suspend, restrict or terminate access where reasonably necessary because:

  • you materially violate these Terms;
  • you violate the Community Guidelines;
  • you receive an applicable DQ or safety restriction;
  • IMMLi reasonably suspects fraud or serious abuse;
  • your conduct creates a material safety or security risk;
  • you attempt to evade enforcement;
  • we are required to act by law or legal process; or
  • continued access would materially threaten the integrity of the Services.

Where appropriate, IMMLi may provide notice or an opportunity to appeal. Serious misconduct may result in immediate suspension or permanent termination.

IMMLi may also discontinue the Services or a material part of them for legitimate operational, legal or business reasons. Where reasonably practicable, affected users will receive appropriate notice.

31What happens after termination#

When your account is terminated:

  • your right to use the Services ends;
  • relevant connection and communication features may become unavailable;
  • your profile may cease to be visible; and
  • personal data will be handled according to the Privacy Policy and applicable legal requirements.

Termination does not automatically erase obligations, liabilities or rights that arose before termination.

Provisions that logically need to continue after termination — including intellectual property, liability, dispute and enforcement provisions — continue to apply.

32Service availability and changes#

IMMLi is an evolving service.

We may update, modify, add, replace or remove features for product, safety, legal, technical or operational reasons.

We do not guarantee that every feature will always remain available or that the Services will operate without interruption or error.

Where a material change affects a paid feature already purchased, IMMLi will act consistently with applicable law and the terms presented at purchase.

33No guarantee of outcomes#

IMMLi may help you understand patterns and recognise potentially relevant connections. It does not guarantee:

  • improved wellbeing;
  • improved relationships;
  • friendship;
  • romantic partnership;
  • compatibility;
  • successful communication;
  • personal safety;
  • that every user is genuine; or
  • that every unsafe interaction will be identified.

MMI patterns and connection suggestions are tools for reflection and relevance. You remain responsible for personal decisions and interactions.

34Disclaimer#

To the extent permitted by applicable law, the Services are provided on an “as available” basis.

IMMLi does not promise that:

  • every feature will always be uninterrupted;
  • every MMI output will be complete or accurate;
  • every connection suggestion will be suitable;
  • every user will behave lawfully or respectfully; or
  • every defect or harmful interaction will be detected immediately.

Nothing in these Terms excludes or limits any guarantee, warranty or consumer protection that applicable law does not permit us to exclude.

35Limitation of liability#

To the extent permitted by applicable law, IMMLi and its directors, officers, employees and service providers will not be liable for indirect, incidental, special or consequential loss resulting from use of the Services.

Where liability may lawfully be limited, IMMLi’s total aggregate liability arising from the Services will not exceed the greater of:

  • the amount you paid directly to IMMLi during the three months immediately preceding the event giving rise to the claim; or
  • INR 10,000.

Note

This limitation does not apply to liability that cannot lawfully be limited or excluded. Nothing in these Terms is intended to restrict mandatory consumer rights or remedies available under applicable law.

36Responsibility for your conduct#

You are responsible for losses or claims arising directly from your unlawful conduct, your infringement of another person’s rights or your material breach of these Terms, to the extent permitted by applicable law.

Nothing in this section requires a consumer to indemnify IMMLi for losses caused by IMMLi’s own negligence, misconduct or breach of law.

37Force majeure#

IMMLi will not be responsible for delay or failure caused by events beyond its reasonable control, such as:

  • natural disasters;
  • widespread power or telecommunications failures;
  • war or civil unrest;
  • government action;
  • epidemics or comparable emergencies; or
  • major failures of infrastructure outside IMMLi’s reasonable control.

This provision does not affect rights that cannot legally be excluded.

38Complaints before formal disputes#

If you have a complaint about the Services, please contact IMMLi first so that we have an opportunity to investigate and resolve the issue. You may contact:

Nothing in this section prevents you from exercising a statutory complaint or consumer right where applicable.

39Governing law#

These Terms are governed by the laws of India.

Mandatory rights that apply to you under consumer, data-protection or other applicable law remain unaffected.

40Dispute resolution#

If a dispute arises in connection with these Terms or the Services, the parties should first attempt in good faith to resolve it through written communication.

Where a dispute is legally capable of arbitration and the parties are legally bound by the arbitration provision, an unresolved dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration will be conducted by a sole arbitrator appointed in accordance with applicable law.

Unless applicable law requires otherwise:

  • the seat of arbitration will be New Delhi, India;
  • proceedings will be conducted in English; and
  • courts with lawful jurisdiction may grant interim or other relief where appropriate.

Note

This arbitration clause does not limit any statutory consumer forum, regulatory complaint, data-protection remedy or other right that applicable law does not permit the parties to waive.

41Notices from IMMLi#

We may provide legally permitted notices through:

  • your registered email address;
  • in-app messages;
  • notifications;
  • the Services; or
  • another reasonable electronic method.

You are responsible for keeping your registered contact information reasonably current.

42Changes to these Terms#

We may update these Terms to reflect changes in:

  • the Services;
  • law;
  • safety practices;
  • technology;
  • business operations; or
  • store or platform requirements.

For material changes, we will provide reasonable notice where required or appropriate. Where applicable law requires fresh acceptance rather than notice alone, we will request it.

If you do not agree to materially revised Terms, you may stop using the Services and delete your account.

43General#

These Terms, together with the Privacy Policy, Community Guidelines and any additional terms expressly applying to a specific feature, form the agreement governing your use of IMMLi.

If a provision is found unenforceable, the remaining provisions continue to apply to the extent legally possible.

A failure by IMMLi to enforce a provision in one situation does not permanently waive its right to enforce that provision later.

You may not transfer your account or contractual rights to another person without our permission. IMMLi may transfer its rights and obligations in connection with a legitimate merger, acquisition, restructuring or transfer of the business, subject to applicable law.
